Software Terms

These Reer Software Terms ("Agreement") are between you ("User" or "you") and Reer, Inc. ("Reer," "we," or "us"), and govern your subscription-based access to and use of the Reer software application, including its embedded components that operate within Rhino, Revit, and other supported CAD and BIM platforms, together with all associated AI features, updates, and documentation (collectively, the "Software"). You interact directly with the Reer desktop application; the embedded components run within Rhino and Revit to carry out tasks on your behalf as part of the same integrated Software. This Agreement works alongside our Terms of Service, which governs your Reer account, website use, and billing.

By installing, accessing, or using the Software, you agree to this Agreement. If you're using the Software on behalf of a company, you confirm you have the authority to bind that organization.

1. Access Grant

Subject to your compliance with this Agreement and an active Reer account in good standing, Reer grants you a limited, non-exclusive, non-transferable, revocable right to install and use the Software, solely for your own internal design and engineering work.

Your access is tied to your authenticated Reer account and current subscription rather than to a license key or file. What you can access depends on your plan:

The Software is activated by signing in with your Reer account. Your access reflects your account's current plan and, where applicable, your seat assignment under a Team plan.

3. Interoperability with Rhino and Revit

The Software's embedded components are designed to work within Rhino and Revit. You're responsible for maintaining your own valid licenses for Rhino, Revit, and any other host platform the Software integrates with. Reer doesn't control, and isn't responsible for, those platforms' availability, pricing, or changes to their functionality or APIs, including changes that may affect how the Software's embedded components operate within them.

Reer owns all right, title, and interest in the Software, including the desktop application, its embedded components, and our AI agent architecture, apart from the access granted to you here. You retain full ownership of your design files, models, and other content you process using the Software.

6. AI Features and Outputs

The Software includes AI-powered agent features that generate or modify design content based on your instructions, including tasks carried out by the embedded components within Rhino and Revit. These outputs are provided as a starting point for your own work, and we recommend reviewing them before relying on them in your projects, consistent with standard professional practice in your field. We don't warrant that AI-generated outputs will be error-free or fit for a particular purpose.

7. Updates

We may release updates to the Software from time to time, which may install automatically to keep the application and its embedded components secure and compatible with supported CAD and BIM platforms. Some updates may change or improve features available under your plan.

8. Term and Termination

This Agreement remains in effect for as long as you maintain an active Reer account with valid access under Section 1. Your access ends automatically if your account is closed, your subscription lapses, or your seat is removed from a Team plan. We may also terminate your access if you materially breach this Agreement, subject to a reasonable opportunity to cure where practical. Upon termination, you must stop using the Software.

9. Warranty Disclaimer

The Software is provided "as is" and "as available." We don't warrant that it will be uninterrupted or error-free, and we recommend following standard professional review practices for any design work produced with its help.

10. Limitation of Liability

To the fullest extent permitted by law, Reer will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. Our total liability for any claim relating to the Software will not exceed the amount you paid us in the twelve months before the claim arose.

11. Export Compliance

You agree to comply with applicable export control and economic sanctions laws in your use of the Software.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless a mandatory law in your jurisdiction requires otherwise.

13. Relationship to the Terms of Service

This Agreement governs your access to and use of the Software itself. Your Reer account, billing, and website use are governed separately by our Terms of Service, which applies alongside this Agreement.
